<h3>Mandate</h3>
<p>Reporting directly to the President & Chief Executive Officer (CEO), the General Counsel serves as a crucial member of the Executive Leadership Team, providing strategic legal leadership and oversight for a consolidated entity including the holding company and its affiliated local electricity distribution company. The role is responsible for shaping and executing a range of strategies for the organization, ensuring legal and governance excellence. The General Counsel is also tasked with the corporation’s compliance program, enterprise risk management program, and insurance portfolio. The role ensures the organization's long-term legal sustainability, protecting its interests and viability well into the future.</p>
<h3>Key Responsibilities</h3>
<p><b>Legal and Compliance</b></p>
<ul>
<li>Create, lead and oversee the development and execution of legal strategies aligned with corporate goals, including areas of corporate and commercial law, securities and corporate governance, litigation and claims, privacy, and support for labour and employment.</li>
<li>Oversee the creation and implementation of strategies for multi-disciplinary legal projects, providing strategic legal advice to the executive team and senior leadership on a range of complex legal, regulatory and business issues.</li>
<li>Oversee management of legal risk and provide proactive counsel on a broad range of issues including various types of commercial contracts, employment law, regulatory matters, intellectual property, securities and finance law, privacy law, disclosure, and litigation.</li>
<li>Oversee the drafting, negotiation, review, and management of the full range of commercial agreements in support of all aspects of the utility business.</li>
<li>Provide general legal advice to support the corporate functions and operations of Elexicon, including as an officer of both the Corporation and Utility.</li>
<li>Oversee the creation and implement a comprehensive corporate compliance function to ensure that there is a unified approach to complex regulatory, environmental, financial, operational and other compliance matters.</li>
<li>Oversee the development and implementation of a mature enterprise risk management program.</li>
<li>Ensure the ERM program is aligned with corporate strategy and reflects appropriate risk appetite, overseeing risk frameworks, assessments, and reporting to effective execution.</li>
<li>Ensure appropriate insurance coverage is maintained proactively and aligned with organizational requirements and needs.</li>
<li>Oversee the development of risk culture and risk partnerships across the organization, ensuring the risk team adopts best practices and practical solutions tailored to the needs of the organization.</li>
</ul>
<p><b>Corporate Governance</b></p>
<ul>
<li>Serve as a key advisor on corporate governance and board matters, including overseeing and supporting the corporate secretariat and board reporting from the Executive Leadership Team.</li>
<li>Oversee the corporate secretary functions for the Board of Directors, including ensuring creation and implementation of best practices for board and corporate governance, advising on a range of issues in a complex board landscape, maintaining corporate records, and ensuring reporting to shareholders and effective implementation of agreements and other investor frameworks.</li>
<li>Attend and report to the Board of Directors, as well as any other standing or ad hoc Committees as required.</li>
</ul>
<h3>Health, Safety Responsibilities</h3>
<ul>
<li>Ensure safety and wellness is a primary consideration and that supervisory employees understand and properly assume their accountabilities as per OH&S Act and other regulatory requirements.</li>
<li>Support and deliver on actionable strategies developed to build a consistent safety culture throughout the organization and in alignment with legislation and the Company’s Health & Safety policies and programs.</li>
<li>Lead and mentor team members, fostering professional development and growth.</li>
<li>Develop strategy and oversee the departmental budgets, ensuring cost-effective use of resources to achieve successful organizational outcomes.</li>
<li>Foster a culture of integrity, accountability, and continuous improvement and drive Elexicon’s behaviours through Living and Leading the behaviours.</li>
</ul>
<h3>Key Qualifications Highlights</h3>
<ul>
<li>A minimum of 15 years of post-call experience in commercial law of which at least 10 years have been in private practice or in a senior position or (Assistant) General Counsel role, including leadership and management experience.</li>
<li>Bachelor’s degree, plus Juris Doctor (JD) or Bachelor of Laws (LLB) from a recognized post-secondary institution and a member in good standing with the Law Society of Ontario.</li>
<li>Understanding of Ontario’s regulatory environment, including the Ontario Energy Board (OEB), Independent Electricity System Operator (IESO), and related legislation.</li>
<li>Experience in energy, utilities, infrastructure, or other highly regulated industries.</li>
<li>Thorough expertise in corporate governance, compliance, administrative law, general commercial law, mergers & acquisitions, corporate restructuring, financing and securities, litigation and claims, risk management, insurance, and litigation.</li>
<li>Strong business acumen with the ability to align legal and risk strategies with corporate objectives.</li>
<li>Exceptional leadership and team-building skills, with experience mentoring legal professionals.</li>
<li>Excellent communication, negotiation, and interpersonal skills, with the ability to influence at all levels of the organization.</li>
<li>High ethical standards, sound judgment, and a commitment to integrity and transparency.</li>
<li>Ability to interact and work collaboratively with a diverse set of internal and external stakeholders and legal counsel.</li>
